RESOLUTION 05-9

Granting Authority to the SFFD Historical Society regarding the Centennial Celebration of the 1906 Earthquake and Fire
and the

San Francisco FireMuseum



WHEREAS, the 100 year anniversary of the 1906 Earthquake and Fire is approaching; and

WHEREAS, the San Francisco Fire Commission and the Chief of the San Francisco Fire Department wish to honor this event through a commemorative celebration; and

WHEREAS, the SFFD Historical Society is a non-profit organization existing under the laws of the State of California; and

WHEREAS, the SFFD Historical Society is actively working to preserve the artifacts and history of the San Francisco Fire Department (SFFD or Department); and

WHEREAS, the SFFD Historical Society presented to the Commission plans for a Centennial Celebration of the 1906 Earthquake and Fire; and

WHEREAS, the SFFD Historical Society wishes to obtain the authority to care for and use the SFFD's historical artifacts both in anticipation of the Centennial Celebration, and permanently, to promote awareness and understanding of the SFFD's history; and

WHEREAS, the SFFD Historical Society wishes to operate the SFFD Fire Museum for the benefit of the residents and visitors to the City and County of San Francisco, both in the anticipation of the excitement generated by the Centennial Celebration and permanently; and

WHEREAS, the San Francisco Fire Commission believes that the SFFD Historical Society is able and willing to perform these functions; now, therefore be it

RESOLVED, that

1. The San Francisco Fire Commission fully supports and endorses the SFFD Historical Society's plans for a celebration of the Centennial of San Francisco's 1906 earthquake and fire, as presented to the Fire Commission on

September 22, 2005.

2. The San FranciscoFire Commission grants the SFFD Historical Society the authority to utilize the historical artifacts belonging to the San Francisco Fire Department in the Centennial Celebration scheduled for April 2006 in a manner that provides access and education to the public, yet preserves the artifacts.

3. The San FranciscoFire Commission transfers custody and control of the Fire Department's historical artifacts to the SFFD Historical Society, subject to the right of the Commission or the Chief of the Fire Department to recall any such items for use by the Department at any time and for any reason. The ownership of these items shall remain with the Fire Department.

4. The San FranciscoFire Commission authorizes the Chief of the Fire Department to enter into an operating agreement for the San FranciscoFireMuseumwith the SFFD Historical Society. Such agreement shall include the following provisions:

a. The SFFD Historical Society shall be required to remain an active non-profit entity in good standing with the Franchise Tax Board and the Secretary of State.


b. Membership in the SFFD Historical Society shall remain open to all persons.

c. The SFFD Historical Society shall keep the artifacts belonging to the Fire Department either on public display, or if that is not feasible, in a safe and secure location accessible to the Chief and/or the Chief's authorized representative.

d. All monetary gifts or donations made to the Fire Department shall be placed in the City treasury.

e. The SFFD Historical Society shall provide an inventory and accounting to the Commission and Chief four times a year, approximately every 90 days of (1) the items belonging to the SFFD that are in its custody and control, (2) its expenditures and income; (3) the expenditures and income of the SFFD Museum; and (4) any gifts it receives and expenditures made from monetary gifts. Such accounting shall include information as to the physical location of any and all of the Fire Department's property.

f. The SFFD Historical Society shall provide to the Commission and the Chief a copy of its by-laws, and any amendments thereto as soon as the Board of Directors adopts them, and abide by its by-laws in the conduct of meetings and elections of officers. Such by-laws shall include annual or semi-annual election of officers.

g. The SFFD Historical Society shall provide copies of all minutes of its Board meetings to the Commission within 30 days of its meetings.

h. The SFFD Historical Society shall provide and keep up to date contact information for its Board members.

i. The SFFD Historical Society shall use its best efforts to promote the preservation of and educate the public about the San Francisco Fire Department's history.
